Seller Terms

These Seller Terms apply to every person or business that registers as a seller on TuDu Marketplace at tudu.ug. By submitting a seller application or listing products, you agree to these Seller Terms, the TuDu Terms of Service, Seller Guidelines, Escrow Policy, and the published Fee Schedule. TuDu Uganda Limited operates the marketplace platform. You remain the seller of record for every product you list. TuDu provides listing tools, payment collection, escrow holding, dispute mediation, and payout services subject to these terms.

You must be at least 18 years old and legally able to enter contracts in Uganda. Business sellers must provide accurate registration details including business name, district, TIN where applicable, and valid contact information. Each seller account must represent one real business or individual. Multiple accounts for the same entity are prohibited unless TuDu approves a written exception. TuDu may approve or reject seller applications at its discretion. Approval does not guarantee ongoing access if you breach these terms.

TuDu uses a four tier verification system: Tier 1 (Unverified): Basic listing after application approval. Tier 2 (Phone Verified): Confirmation of a Ugandan mobile number via one time password. Tier 3 (ID Verified): Submission of a National ID or approved government ID checked against the National Identification and Registration Authority registry through our identity partner. Tier 4 (Trusted Seller): Granted when you meet sustained performance criteria including a rating of 4.5 or above, response rate of 90 percent or above, at least 50 completed sales, and no unresolved disputes in the preceding 90 days. TuDu may request additional documents for high risk categories or high volume sellers. Rejected verification submissions include a reason and a path to resubmit from your seller dashboard.

You are responsible for accurate titles, descriptions, images, prices, stock levels, and handling times. Prices must be stated in Ugandan Shillings unless TuDu approves another display currency. You must dispatch confirmed orders within the handling time on your listing and provide valid tracking where delivery requires it. You must not divert buyers to off platform payment for TuDu orders. Prohibited items and practices are defined in the Seller Guidelines. TuDu may remove listings or suspend accounts without prior notice for serious violations.

TuDu charges commission on completed sales according to the Fee Schedule at /seller/fees. Commission depends on your subscription plan (Starter, Growth, or Pro) and product category. The effective rate is the lower of your plan ceiling and the category rate. Starter plan sellers pay no monthly subscription fee. Growth and Pro plans include a monthly fee billed to your linked payment method as described on the Fee Schedule. TuDu absorbs buyer side payment processing fees for standard checkout. Commission is deducted at escrow release before payout to your registered mobile money or bank account. TuDu may change fees with at least 30 days notice to registered sellers by email and dashboard notice.

All online buyer payments for TuDu orders are held in TuDu Secure Pay escrow until the buyer confirms receipt, a dispute is resolved, or the auto release window expires after confirmed delivery. Funds are not available for withdrawal while an order is in escrow or under dispute. After release, payouts are sent to the mobile money or bank details you provide at registration. You must keep payout details current. Standard payout timing follows the schedule on the Seller Pricing page. TuDu may delay payout during fraud review, chargeback investigation, or active disputes. The auto release window is 72 hours after delivery confirmation when the buyer takes no action and no dispute is open.

Buyers may request returns within 14 days for eligible categories as described in the Returns policy. You must honour approved returns and cooperate with TuDu mediation. When a buyer raises a dispute, escrow funds are frozen until TuDu resolves the case. TuDu may rule in favour of the buyer (refund) or seller (release) based on evidence. Platform dispute decisions govern escrow fund release on TuDu. Commission on fully refunded orders is reversed according to the Fee Schedule. Partial refunds may be handled as documented exceptions through TuDu Support.

You are responsible for registering, collecting, and remitting applicable taxes including VAT and income tax under Ugandan law. TuDu may display tax inclusive prices where required. You must comply with consumer protection, electronic transactions, and trade regulations applicable to your products. TuDu may report suspected illegal activity to relevant authorities.

TuDu may warn, restrict, suspend, or terminate seller accounts for policy violations, poor performance, fraud risk, or legal requirements. Serious violations may result in immediate termination. On termination, you must complete open orders or accept cancellation and refund outcomes. TuDu may withhold payouts during investigation of suspected fraud subject to law and these terms.

To the fullest extent permitted by Ugandan law, TuDu is not liable for lost profits, indirect damages, or business interruption arising from your use of the seller portal. TuDu liability for any claim related to seller services is limited to fees paid by you to TuDu in the three months before the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

TuDu may update these Seller Terms. Material changes will be notified by email at least 14 days before they take effect. Continued selling after the effective date constitutes acceptance.
