Terms of Service

By accessing or using TuDu at tudu.ug, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use TuDu. These terms constitute a legally binding agreement between you and TuDu Uganda Limited, a company incorporated in the Republic of Uganda. These Terms of Service apply to all visitors, registered users, buyers, sellers, and any other person who accesses or uses the TuDu platform, website, mobile applications, and related services.

You must be at least 18 years old to create an account or make a purchase on TuDu. By using TuDu, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these terms. If you are under 18, a parent or legal guardian must supervise and consent to your use. Sellers must be at least 18 years old and must have the legal authority to sell the products they list. Business sellers must provide valid business registration details where applicable.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete registration information, notify us immediately through the support contact form if you suspect unauthorised access to your account, not share your account credentials with any third party, and not create more than one personal account without our written permission. TuDu reserves the right to suspend or terminate accounts that violate these terms, provide false information, or engage in fraudulent or abusive activity.

TuDu operates an online marketplace that connects independent buyers and sellers. TuDu Uganda Limited is not the seller of products listed on the platform unless explicitly stated on a product page. When you place an order, you enter into a contract directly with the individual seller, not with TuDu. TuDu acts as a marketplace facilitator and payment intermediary. We provide the platform, payment processing, escrow services, and dispute mediation tools. We do not manufacture, store, or take title to products sold by third party sellers. Product descriptions, images, pricing, availability, and fulfilment are the responsibility of the seller. TuDu does not guarantee the quality, safety, legality, or suitability of any product or service offered by sellers. We enforce seller standards and may remove listings or suspend accounts that violate our policies, but we are not a party to the sale contract between buyer and seller except where TuDu is explicitly identified as the seller.

When you place an order on TuDu, you make an offer to purchase from the seller at the price and terms displayed at checkout. The seller may accept or reject the order in accordance with their stated policies and stock availability. A contract is formed when the seller confirms the order or dispatches the item, whichever occurs first. Prices are displayed in Uganda Shillings (UGX) and are inclusive of Value Added Tax where applicable unless otherwise stated. Delivery fees, if any, are shown at checkout before you confirm payment. TuDu reserves the right to cancel any order in the event of pricing errors, payment failures, suspected fraud, or unavailability confirmed by the seller. In such cases, you will receive a full refund to your original payment method or TuDu Wallet. All online payments are processed through TuDu Secure Pay escrow as described in our Escrow Policy. Buyers should inspect orders upon delivery and raise disputes within the applicable confirmation window.

By registering as a seller, you agree to the Seller Guidelines and any additional seller terms incorporated herein by reference. Key obligations include listing only products you own or are authorised to sell, providing accurate descriptions, images, and stock information, dispatching confirmed orders within the stated handling time, honouring your stated returns and warranty policies, and maintaining compliance with Ugandan consumer protection and trade regulations. TuDu operates a four tier seller verification system. Tier 1 (Unverified) allows basic listing. Tier 2 (Phone Verified) requires confirmation of a Ugandan mobile number via one time password. Tier 3 (ID Verified) requires submission of a government issued identification document for verification against the National Identification and Registration Authority registry through our identity partner. Tier 4 (Trusted Seller) is granted when a seller meets sustained performance criteria including a rating of 4.5 or above, response rate of 90 percent or above, at least 50 completed sales, and no unresolved disputes in the preceding 90 days. TuDu reserves the right to delist products, withhold payouts, or suspend seller accounts for violations of these standards or applicable law.

You agree not to use TuDu to list or sell counterfeit, stolen, or prohibited goods, engage in price manipulation or fraudulent review activity, harvest user data or contact information for unsolicited communications, circumvent TuDu payment systems to transact directly with buyers or sellers, upload content that is defamatory, fraudulent, obscene, or in violation of any applicable law, or use automated tools to scrape, crawl, or mass download TuDu content without written permission. Violations may result in immediate account termination, forfeiture of pending payouts where permitted by law, and referral to law enforcement or regulatory authorities including the Uganda Communications Commission where applicable.

TuDu charges sellers a commission per completed sale as described in the current Fee Schedule published in the Seller Portal. Fees are subject to change with 30 days notice to registered sellers. Buyers do not pay platform fees to TuDu beyond the product price and any applicable delivery fees displayed at checkout. All payments are processed securely by our certified payment partners. TuDu does not store full card numbers or mobile money PINs. Seller payouts are subject to escrow release rules and may be delayed during active disputes or compliance reviews.

TuDu standard return window is 14 days from delivery for eligible products unless a seller offers a longer period. Returns outside this window, or for non eligible categories such as groceries, digital goods, or personal care items opened from sealed packaging, are at the discretion of the seller subject to applicable consumer protection law. All online payments on TuDu are held in escrow until the buyer confirms receipt or the auto release window expires after delivery confirmation. Buyers may raise a dispute at any time while funds remain in escrow, which immediately freezes the funds pending resolution. If a dispute arises, TuDu Support will acknowledge the dispute within one business day and review the case within three business days. Either party may submit evidence including photographs, videos, order tracking records, and written statements. TuDu will issue a ruling resolving the dispute in favour of the buyer, triggering a refund, or the seller, triggering fund release. TuDu decision in escrow dispute resolutions is final and binding on the parties for purposes of fund release on the platform.

TuDu encourages buyers and sellers to resolve minor issues directly through the messaging tools on the platform. Where direct resolution is not possible, either party may escalate to TuDu Support through the order dispute process while funds remain in escrow. For disputes that cannot be resolved through TuDu mediation, or for claims against TuDu Uganda Limited itself, the parties agree to attempt good faith negotiation for a period of 30 days before initiating formal proceedings. During this period, you may submit a legal enquiry through the legal contact form with a written summary of the dispute and desired outcome. Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction in Uganda where necessary to prevent irreparable harm.

All content on TuDu, including the TuDu logo, brand identity, website design, software, and original text, is owned by TuDu Uganda Limited and protected by Ugandan and international intellectual property laws. You may not reproduce, distribute, or create derivative works from TuDu proprietary content without express written permission. Sellers retain ownership of their product content but grant TuDu a non exclusive, royalty free licence to display, reproduce, and promote that content across TuDu platforms and marketing channels for the purpose of operating the marketplace.

TuDu provides its platform on an "as is" and "as available" basis. To the maximum extent permitted by Ugandan law, TuDu disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. TuDu shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the platform, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages. TuDu total liability to you for any claim arising from these terms or your use of the platform shall not exceed the greater of the amount you paid to TuDu in platform fees in the three months preceding the claim, or UGX 500,000. These limitations do not exclude liability that cannot be excluded under the laws of Uganda, including liability for fraud or wilful misconduct.

TuDu Uganda Limited shall not be liable for any failure or delay in performing its obligations under these terms where such failure or delay results from circumstances beyond its reasonable control. These circumstances include but are not limited to natural disasters, epidemics, acts of government or regulatory authority, power or telecommunications failures, civil unrest, strikes, courier disruptions, payment network outages, or failures of third party service providers. During a force majeure event, affected obligations are suspended for the duration of the event. TuDu will use reasonable efforts to notify users of significant disruptions and to restore normal service as soon as practicable.

You may not assign or transfer your rights or obligations under these Terms of Service without TuDu prior written consent. TuDu may assign or transfer its rights and obligations under these terms to an affiliate or successor in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets, provided that the assignee agrees to honour these terms. Any attempted assignment in violation of this section is void.

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

These Terms of Service, together with the Privacy Policy, Cookie Policy, Seller Guidelines, Escrow Policy, and any additional policies or terms referenced herein, constitute the entire agreement between you and TuDu Uganda Limited regarding your use of the platform. They supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter. No waiver of any term shall be deemed a further or continuing waiver of that term or any other term. TuDu failure to enforce any right or provision under these terms shall not constitute a waiver of that right or provision.

These terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising out of or in connection with these terms that are not resolved through TuDu dispute processes shall be submitted to the exclusive jurisdiction of the courts of Uganda, specifically the Commercial Court Division of the High Court in Kampala, unless mandatory consumer protection rules require otherwise.

TuDu may update these Terms of Service at any time. We will notify registered users of material changes via email or a prominent in app notice at least 14 days before the changes take effect. Your continued use of TuDu after the effective date constitutes acceptance of the revised terms. If you do not agree to updated terms, you must stop using the platform and may request account closure through the support contact form.
